Terms and Conditions
Michelle Euzet · EUZET Advisory Boutique · PERFORM THE TALK
1 Scope and contracting party
These Terms and Conditions apply to contracts with Michelle Euzet, trading as EUZET Advisory Boutique, Bergheimer Straße 147, 69115 Heidelberg, Germany, hereinafter the Provider. They cover services offered under the names Michelle Euzet and PERFORM THE TALK insofar as they have been validly incorporated before the contract is concluded. Individual agreements take precedence.
Paid services are offered exclusively to persons acting in the exercise of their commercial or independent professional activity within the meaning of section 14 of the German Civil Code (BGB), legal entities governed by public law, and special funds governed by public law. The determining factors are who enters into the contract and for what purpose; employment alone does not confer this business status. Anyone placing an order on behalf of an organization must be authorized to do so. Individually agreed terms take precedence.
2 Subject matter and scope of services
The Provider delivers Executive Advisory, sparring, consulting, talks, workshops and professional development services, as well as Diversity Management services under PERFORM THE TALK. These include digital assessments, reports and working materials, in particular IMPACT PULSE, IMPACT CHECK and IMPACT BOOST. The service description, scope and dates agreed when the contract is concluded determine the services to be provided.
Assessments and consulting services support reflection and organizational decision-making. They replace neither a representative survey nor legal advice. Assessments from a chosen perspective do not establish what other people actually think. No specific commercial outcome or organizational change is guaranteed. Agreed performance obligations and statutory rights concerning defects remain unaffected.
3 Conclusion of the contract
For IMPACT CHECK offered directly online, the scope of services, price and payment terms are displayed before the order is placed. Completing the designated paid ordering and payment process creates a binding booking for CHECK. Order information is provided by email.
When an inquiry is submitted about a service, an invoice or IMPACT BOOST, an automated acknowledgment confirms receipt only. A contract is concluded through acceptance of a binding offer or an express order confirmation by the Provider. Conflicting information must be clarified before an order is placed.
4 Fees and payment
The agreed prices apply, plus any VAT required by law. Online payments are due during the ordering process. Unless otherwise agreed, invoices must be paid in full within 14 days of receipt. As a rule, access to CHECK is activated only after payment has been received, including for payment by invoice. Other services are subject to the agreed payment terms. Statutory rights in the event of late payment remain unaffected.
5 IMPACT PULSE and IMPACT CHECK
IMPACT PULSE is a free service providing an initial structured assessment. Using it does not oblige users to purchase further services or consent to marketing. The scope and delivery of the results are set out in the description accompanying the assessment. The terms of use applicable to PULSE are made available before it begins. Mandatory statutory rights remain unaffected.
IMPACT CHECK includes one personal completion of the online self-assessment from a chosen perspective, together with the results and workbook described for that service. After payment, users receive an individual access link. This link must not be shared publicly or used for additional people. A further completion from another perspective is included only if expressly agreed.
On completion, the report is made available in the browser as a PDF download. Users should save it on their own device. After successful completion, access is marked as used. In the event of technical difficulties or a lost report, users may contact the Provider, who will assess whether to provide the report again or offer the necessary access support. Statutory claims concerning services that have not been properly provided remain unaffected. This does not confer a right to repeat the assessment at any time.
Use requires an up-to-date browser, internet access and the ability to download PDFs. Any further technical requirements are specified in the service description before purchase.
6 IMPACT BOOST and other live services
Depending on the agreement, IMPACT BOOST includes a preparatory kick-off, individual advance assessments by participants and a facilitated online workshop. The focus and time horizon are agreed jointly. The advance assessment is part of BOOST and does not require a separate CHECK purchase. Participant numbers, duration and outputs are set out in the offer.
For consulting, sparring, workshops, talks and professional development, the offer specifies the location or online format, dates, required cooperation and any travel arrangements. Additional services are agreed separately. Dates may be changed by mutual agreement. If the Provider is unable to attend, an alternative date will be offered; if this is unreasonable or no agreement is reached, statutory rights apply. Services not delivered will not be charged merely because the Provider was unable to attend.
7 Cooperation and confidentiality
Clients provide the information necessary for delivery in good time and to the agreed extent. Assessments should not contain colleagues’ names, sensitive personal details about them, or unnecessary confidential details. Any additional personal data concerning third parties must have a lawful basis.
Both parties treat non-public information about the other party and its organization as confidential. This obligation continues after the contract ends. Exceptions apply to information lawfully in the public domain and disclosures required by law. Persons assisting with delivery are bound by confidentiality obligations to the extent necessary. Personal data is processed exclusively in accordance with the applicable data protection rules.
8 Use of reports and materials
Clients receive a non-exclusive right to use the reports and working materials provided for the agreed internal work. For reports already delivered, this right continues after the service has ended. Reports may be shared within the commissioning organization with people whose responsibilities are relevant to reflection and decision-making. Data protection and confidentiality must be observed, and the source and limitations of the findings must remain clear.
Publication, resale, sharing methodological materials for use by other organizations, or reproduction as the client’s own training product is not permitted without separate authorization insofar as the Provider holds the relevant rights. Clients retain rights in their own information and pre-existing materials. For e-learning and organization-wide licenses, the number of users, term and permitted means of delivery must be expressly agreed.
9 Liability
The Provider’s liability and claims relating to services that do not comply with the contract are governed by statutory provisions.
10 Data protection and final provisions
Information on the processing of personal data is available in the privacy notice at https://www.performthetalk.com/impact-privacy-en. Agreement to these Terms and Conditions does not constitute consent to marketing, research or any further processing of assessment results.
German law applies, excluding the United Nations Convention on Contracts for the International Sale of Goods, insofar as mandatory law does not provide otherwise. This version does not establish a special place of jurisdiction. Changes for future offers do not automatically alter existing contracts. Individual agreements remain valid even if they do not follow a form prescribed in these Terms and Conditions. If a provision is invalid, statutory rules apply.
